Terms of Service

Please read these terms carefully. They set out the rules for using Cliento, including your responsibilities for the customer data you process and for any Google or Meta accounts you connect.

Effective date: 5 September 2026

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Cliento ("Cliento", "we", "us") and govern your access to and use of the website www.mycliento.com, the Cliento CRM application, embeddable forms, chatbot, widgets, APIs, integrations and related services (together, the "Service").

By creating an account, clicking "I agree", or using the Service, you accept these Terms and our Privacy Policy. If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, you may not use the Service.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • You must provide accurate and complete registration information and keep it up to date.
  • You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately at support@mycliento.com if you suspect unauthorised access.
  • Business workspaces are created only by platform administrators. Authorised workspace owners and managers may invite team members and assign permitted roles. You are responsible for the actions of everyone you grant access to.

3. The Service

Cliento provides a multi-tenant CRM platform for service businesses that includes contact and lead management, a sales pipeline, a unified inbox, appointment scheduling, website forms and chatbot, automations, email marketing, a knowledge base and reporting. We may add, change or remove features from time to time. We will give reasonable notice of changes that materially reduce core functionality of a paid plan.

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription, subject to these Terms.

4. Your data and your responsibilities

Ownership. You retain all rights to the contacts, leads, messages, files and other content you or your End Users submit to the Service ("Customer Data"). You grant Cliento a licence to host, process, transmit and display Customer Data solely to provide and support the Service.

Your obligations. You are the data controller for Customer Data and you represent and warrant that:

  • you have obtained all consents and provided all notices required by law to collect and process Customer Data through the Service, including for marketing emails, SMS and automated messages you send;
  • you will comply with applicable data protection, anti-spam and telemarketing laws (such as GDPR, ePrivacy, CAN-SPAM, TCPA) when using messaging and marketing features;
  • you will honour unsubscribe and deletion requests from your contacts promptly;
  • you have the right to publish any content you place in forms, chatbots, emails or knowledge-base articles.

Data processing. Cliento processes Customer Data as a processor in accordance with our Privacy Policy. Where required, our Data Processing Addendum is available on request and forms part of these Terms.

5. Third-party services and integrations

The Service currently offers an optional Google Calendar connection. Other Google and Meta integrations are in development and are not currently available. Connecting an available service requires you to authorise access through that provider.

  • Your use of any third-party service is also governed by that provider's own terms and policies, including the Google Terms of Service, the Meta Terms of Service and Instagram Terms of Use.
  • You must have the right to connect the account you authorise (for example, you must be an admin of the Facebook Page or Instagram Business account).
  • We access third-party data only within the scopes you approve and only to deliver the connected feature, as described in our Privacy Policy.
  • You can disconnect an integration at any time from the Integrations page; stored credentials are deleted on disconnection.
  • We are not responsible for the availability, accuracy or conduct of third-party services, and changes made by a provider may affect or discontinue an integration.

6. Acceptable use

You agree not to, and not to allow others to:

  • use the Service to send spam, unsolicited bulk messages, or messages to people who have not consented or have opted out;
  • upload or transmit content that is unlawful, defamatory, harassing, hateful, sexually explicit, fraudulent or infringing;
  • collect or process sensitive personal data (such as health, biometric or financial account data) unless you have a lawful basis and appropriate safeguards;
  • impersonate any person or entity or misrepresent your affiliation;
  • attempt to gain unauthorised access to the Service, other workspaces, or our systems, or probe, scan or test their vulnerability;
  • reverse engineer, decompile, scrape, or copy the Service or use it to build a competing product;
  • interfere with the Service's operation, including by overloading it or circumventing usage limits;
  • use the Service in violation of any applicable law, or of the platform policies of Google, Meta or any other connected provider;
  • resell or sublicense the Service without our written permission.

We may suspend or terminate accounts that violate this section, and we may remove content that breaches these Terms.

7. Plans, billing and cancellation

  • Plans. The Service is offered under free and paid subscription plans described on our pricing page. Feature availability and usage limits depend on your plan.
  • Payment. Pricing, payment arrangements and applicable taxes are agreed with our team before activation. Online checkout and automatic card billing are not currently available.
  • Renewal. Renewal arrangements, if applicable, are set out in your agreed order terms.
  • Cancellation. Contact our team to request cancellation or a plan change. Any effective date is governed by your agreed order terms and applicable law.
  • Refunds. Fees are non-refundable except where required by law or expressly stated by us.
  • Price changes. We may change prices with at least 30 days' notice; changes apply from your next renewal.
  • Non-payment. If payment fails, we may downgrade or suspend your workspace after reasonable notice.

8. Intellectual property

The Service, including its software, design, logos, documentation and all related intellectual property, is owned by Cliento or its licensors and is protected by copyright, trademark and other laws. Except for the limited rights granted in these Terms, no rights are transferred to you.

If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without obligation to you.

9. AI features

Certain features use artificial intelligence to generate suggestions, summaries and chatbot replies. AI output may be inaccurate or incomplete. You are responsible for reviewing AI-generated content before relying on it or sending it to your customers. We do not use your Customer Data to train generalised AI models.

10. Confidentiality and security

Each party will protect the other's confidential information with at least reasonable care and use it only to perform under these Terms. We maintain technical and organisational security measures as described in our Privacy Policy. You are responsible for configuring roles, permissions and integrations appropriately for your business.

11. Term and termination

  • These Terms apply from the moment you first use the Service and continue until your account is closed.
  • You may close your account at any time by contacting support@mycliento.com.
  • We may suspend or terminate your access with notice if you materially breach these Terms, fail to pay fees, or if required by law, and immediately where necessary to prevent harm to the Service or others.
  • On termination, your right to use the Service ends. You may export your Customer Data (e.g. as CSV) before closing your account. We delete or anonymise Customer Data within 30 days after termination, subject to legal retention requirements.
  • Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnity and governing law) survive termination.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, CLIENTO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY MESSAGE, EMAIL OR SYNC WILL BE DELIVERED. YOU USE THE SERVICE AT YOUR OWN RISK.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENTO AND ITS OFFICERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR EUR 100 IF YOU USE A FREE PLAN).

Nothing in these Terms limits liability that cannot be limited under applicable law, including for fraud or for death or personal injury caused by negligence.

14. Indemnification

You will defend, indemnify and hold harmless Cliento from and against any claims, damages, losses and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service in violation of these Terms or applicable law, your messaging or marketing activities, or your breach of any third-party platform terms.

15. Changes to the Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the effective date. For material changes we will notify you by email or in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

16. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The courts of Berlin, Germany have exclusive jurisdiction over any dispute arising from these Terms, except that consumers may also rely on the mandatory consumer-protection laws and courts of their country of residence.

Before starting formal proceedings, both parties agree to try to resolve any dispute informally by contacting legal@mycliento.com.

17. General

  • Entire agreement. These Terms, the Privacy Policy and any order form or DPA constitute the entire agreement between you and Cliento regarding the Service.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver. Failure to enforce a provision is not a waiver of the right to do so later.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
  • Notices. We may send notices to the email address on your account. Notices to us should be sent to legal@mycliento.com.
